Aurum Spade Capital provides capital strategy consultation, non-custodial trading execution services, portfolio optimization, and bespoke financial structuring guidance. We operate exclusively through authorized third-party broker partners, including but not limited to TagMarkets Ltd ("TagMarkets" or "Custodial Partner").

IMPORTANT DISCLOSURES:

- We do NOT act as a custodian, bank, broker-dealer, or registered investment adviser

- We do NOT hold, possess, or have custody of client funds or assets

- All client funds remain with our authorized custodial partners (TagMarkets)

- TagMarkets is solely responsible for fund security, custody, and regulatory compliance

- Our services are for strategic consultation and execution coordination only

- Nothing herein constitutes financial, legal, tax, or investment advice

3. Account Monitoring and Data Access

CRITICAL NOTICE: By using our services, you expressly acknowledge and consent to the following:

a) Complete Account Visibility: Through our partnership with TagMarkets, we maintain comprehensive real-time access to all aspects of your trading account, including but not limited to:

- Account balances and equity positions

- All trade executions and transaction history

- Deposits, withdrawals, and fund movements

- Portfolio performance and profit/loss data

- Risk metrics and exposure calculations

- All communication between you and TagMarkets

b) Data Sharing Agreement: TagMarkets is contractually obligated to provide us with complete transparency into your account activities for performance monitoring, risk management, and service delivery purposes.

c) Operational Control: While TagMarkets maintains legal custody, we exercise operational oversight and strategic control over trading decisions within your account per your authorization.

4. Eligibility and Onboarding

Access to our services is strictly by invitation or approved application only. We reserve absolute discretion to:

- Deny service to any individual or entity for any reason

- Discontinue existing client relationships without cause

- Modify service terms for individual clients

- Require additional documentation or verification at any time

Clients must provide complete, accurate, and current information throughout onboarding and ongoing service delivery. You authorize ASC and TagMarkets to collect, verify, process, and share all data necessary for service delivery, compliance, and risk management.

5. Client Responsibilities and Acknowledgments

You acknowledge and agree that you are solely responsible for:

- Maintaining the security of your account credentials and access

- Understanding all risks associated with trading and investment activities

- Compliance with all applicable laws and regulations in your jurisdiction

- All tax obligations arising from trading activities

- Consulting independent legal, tax, and financial advisers before making decisions

YOU EXPRESSLY AGREE NOT TO HOLD AURUM SPADE CAPITAL LIABLE FOR:

- Any losses, regardless of cause or magnitude

- Market volatility, liquidity issues, or trading errors

- Third-party service failures or security breaches

- Regulatory changes or compliance issues

- Technology failures or system downtime

- Force majeure events or circumstances beyond our control

6. Trading Authorization and Execution

In approved service tiers, you may grant us limited, revocable authorization to:

- Execute trades and manage positions in your account

- Implement risk management strategies

- Coordinate with TagMarkets on your behalf

- Access account data for performance optimization

Such authorization:

- Is granted through signed agreements with specific scope limitations

- May be revoked by either party with written notice

- Does not transfer ownership or title of any assets

- Is subject to our absolute discretion in execution timing and methodology

7. Comprehensive Risk Disclosure

WARNING: TRADING INVOLVES SUBSTANTIAL RISK OF LOSS

- Third-party service provider costs passed through to clients

All fees are disclosed in advance and confirmed in service agreements. You remain responsible for:

- All applicable taxes on gains and fee payments

- Brokerage costs and exchange fees

- Third-party service provider charges

- Currency conversion costs where applicable

9. Confidentiality and Proprietary Information

All materials, strategies, communications, methodologies, and data provided by ASC are strictly confidential and proprietary. You agree to:

- Maintain absolute confidentiality of all proprietary information

- Not disclose, share, or reproduce any ASC materials

- Not reverse-engineer or attempt to replicate our strategies

- Return or destroy all materials upon termination of services

- Indemnify ASC for any unauthorized disclosure

10. Technology and Data Management

- Account monitoring and performance tracking

- Risk management and compliance oversight

- Communication recording and storage

- Security monitoring and fraud prevention

By using our services, you consent to:

11. Intellectual Property Protection

All content, systems, strategies, methodologies, trade names, and frameworks developed by or for ASC remain our exclusive intellectual property. Unauthorized use, copying, distribution, or derivative creation is strictly prohibited and may result in legal action.

12. Enhanced Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Aurum Spade Capital, its principals, employees, contractors, affiliates, and service providers SHALL NOT BE LIABLE for any:

- Direct, indirect, incidental, punitive, or consequential damages

- Loss of profits, revenue, or business opportunities

- Trading losses or missed profit opportunities

- Data breaches or security incidents at third-party providers

- Service interruptions or system failures

- Errors in execution or timing

- Market losses due to volatility or liquidity issues

MAXIMUM LIABILITY LIMITATION: In no event shall our total liability exceed the lesser of: (a) fees paid to ASC in the 12 months preceding the claim, or (b) $10,000 USD.

## 13. Comprehensive Indemnification

You agree to indemnify, defend, and hold harmless ASC, TagMarkets, and all associated parties from any and all:

- Claims, demands, or legal actions arising from your use of services

- Losses resulting from your breach of these terms

- Regulatory violations or compliance failures

- Third-party claims related to your trading activities

- Costs and expenses (including legal fees) incurred in defending against claims

## 14. Termination and Account Closure

We reserve the right to immediately suspend or terminate services:

- For any violation of these terms

- For suspected fraudulent or illegal activity

- For failure to meet minimum account requirements

- For any reason at our sole discretion

- Without prior notice where circumstances warrant

Upon termination:

- All trading authorization is immediately revoked

- Outstanding fees become immediately due

- Confidentiality obligations remain in effect

- Account closure procedures are initiated with TagMarkets

15. Dispute Resolution and Governing Law

BINDING ARBITRATION: All disputes shall be resolved through binding arbitration rather than court proceedings. You waive your right to jury trial and class action participation.

These Terms are governed by the laws of the United Arab Emirates. Exclusive jurisdiction for any proceedings lies with competent UAE courts.

16. Force Majeure

ASC shall not be liable for any delay or failure in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, cyber attacks, government actions, market closures, or technology failures.

17. Severability and Modifications

If any provision of these Terms is deemed unenforceable, the remaining provisions shall remain in full effect. We reserve the right to modify these Terms at any time. Material changes will be communicated to active clients, but continued use constitutes acceptance of updated terms.

18. Additional Regulatory Disclosures

- All trading involves significant risk and may not be suitable for all investors

- Leveraged trading can result in losses exceeding initial investment
